Terms of Service

1. Acceptance of Terms

By accepting an invoice, making a payment, or otherwise engaging the services of Paradigm Wave LLC, doing business as ParaWav AI ("ParaWav AI," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not proceed with payment or use of the services.

2. Services

ParaWav AI provides business automation, artificial intelligence integration, software development, consulting, and related professional services ("Services") as described in the applicable invoice, statement of work, or written agreement between the parties. The scope, deliverables, and timing of any Services are governed by that document.

3. Invoices and Payment

Invoices issued by ParaWav AI are payable in U.S. dollars by the due date stated on the invoice. Accepted payment methods include financing via Affirm and other methods as ParaWav AI may make available from time to time. Payments processed through Affirm are subject to Affirm's own terms and lending disclosures, which are presented at the time of checkout. ParaWav AI does not collect, store, or process credit card or bank account information directly.

Late payments may accrue interest at 1.5% per month (or the maximum rate permitted by law, if lower). ParaWav AI may suspend or terminate Services for non-payment.

4. Refund Policy

Refund requests must be submitted in writing to admin@parawavai.com within thirty (30) days of payment. Approved refunds are returned via the original payment method. Services already rendered, custom development work delivered, and third-party fees are non-refundable unless otherwise required by law. ParaWav AI reserves discretion in evaluating refund requests on a case-by-case basis.

5. Intellectual Property

Subject to full payment of all amounts owed, ParaWav AI grants the Client a non-exclusive, perpetual license to use the deliverables produced specifically for the Client under the Services. ParaWav AI retains all rights, title, and interest in its pre-existing tools, frameworks, methodologies, code libraries, and know-how used to produce the deliverables. Nothing in these Terms transfers ownership of ParaWav AI's proprietary technology.

6. Confidentiality

Each party agrees to maintain in confidence any non-public information disclosed by the other party in connection with the Services, and to use such information only for purposes of performing or receiving the Services.

7. Warranties and Disclaimer

ParaWav AI will perform the Services in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARAWAV AI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY THE CLIENT TO PARAWAV AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. PARAWAV AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

Each party shall indemnify and hold harmless the other party from any third-party claims arising out of the indemnifying party's breach of these Terms or violation of applicable law.

10. Termination

Either party may terminate Services for material breach if the breach remains uncured 14 days after written notice. ParaWav AI may suspend or terminate Services immediately for non-payment. Sections 5 (IP), 7 (Disclaimer), 8 (Liability), and 11 (Governing Law) survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The parties agree that any disputes arising out of these Terms shall be resolved exclusively in the state or federal courts located in San Bernardino County, California. Each party waives any objection to jurisdiction or venue in such courts.

12. Entire Agreement

These Terms, together with the applicable invoice and any signed statement of work, constitute the entire agreement between the parties with respect to the Services and supersede all prior or contemporaneous understandings. No modification is effective unless in writing and signed by both parties.
